Pete has been working with business and technology clients in Silicon Valley for over 35 years, with an emphasis on representing early stage technology and Internet companies.

Pete advises clients on general business and corporate matters, and has extensive experience representing clients in “start up” formation, mergers and acquisitions, debt and equity financing and related securities matters, technology licensing, SaaS and hosting agreements, domestic and international joint-ventures and strategic partnerships, product development, product sales and distribution, and intellectual property matters.

Pete Marshall received his A.B. cum laude from UC Berkeley, and his J.D. cum laude from UC Hastings College of the Law. He was an editor of the Hastings Law Journal, a judicial extern to the Hon. Malcolm Lucas, California Supreme Court, and a member of the Thurston Society.

Represented a philanthropy focused social media platform in its formation and funding.

Represented database software and software services company in $4M SAFE transaction, and relocation of corporate entity from UK to Delaware.

Represented provider of behavior and education services for individuals with autism spectrum disorder in its acquisition by a private equity fund. Transaction value approximately $9M.

Represented financial technology sector start up in $15M convertible debt financing.

Represented technology company in $13M litigation funding transaction.

Represented buyer in acquisition of real property in Berkeley, California for the development of a mixed used project. Transaction value approximately $9M.

Represented financial technology sector startup in $14M Series A financing round.

Represented cloud revenue management provider in its acquisition by a publicly-traded UK-based company. Transaction value approximately $13.2M.

Represented premium video content syndication platform in its Series B financing.

Represented the buyers in a management spin-out of a software and SaaS business unit from a publicly-traded company. Transaction value $20M.

Represented a personal financial services and lending platform in its formation, and $3M convertible debt financing.

Represented data-driven premium content company in its acquisition by a global marketing agency. Transaction value in excess of $25M.

Represented Internet advertising and video syndication platform in its acquisition by a digital media and entertainment company. Transaction value in excess of $30M.
